Terms of Service

These Terms of Service ("Terms") are an agreement between you and Iconic Tech LLC, doing business as Rankchat Agency ("Rankchat Agency", "we", "us"). They apply when you use rankchatagency.com, book a call, receive text messages from us, or buy our services. By doing any of those things you agree to these Terms.

1. Our services

Rankchat Agency provides a done for you system for local service businesses: a website we build and host, search engine optimisation that publishes new pages over time, Google review requests, and lead tools such as a business phone number, missed call text back, website chat, a calendar and a CRM. Some of these tools run on third party platforms, including GoHighLevel.

2. Who can use the services

You must be at least 18 years old and acting on behalf of a business. You are responsible for keeping your login details safe and for activity under your account.

3. Fees and billing

Fees are as quoted to you at sign up (our standard plan is $297 per month) and are billed monthly in advance to the payment method you provide. There is no long term contract. You can cancel at any time by emailing support@rankchat.ai; cancellation takes effect at the end of the current billing period. Fees already paid are not refundable unless required by law. We may change our prices with at least 30 days' notice.

4. Your website, domain and content

We build, host and maintain your website and the domain it runs on, and we own the website design, code and the content we create. While your subscription is active, you may use them for your business. When your subscription ends, the website is taken offline. If you want to keep the website and domain, you can buy them out for a one time fee agreed with us in writing.

You keep ownership of your own materials (such as your logo, photos and business details) and of your customer data. You give us permission to use your materials to provide the services.

5. Your responsibilities

• Give us accurate information about your business, services and service areas.
• Have the rights to any materials you send us.
• When you use our tools to text or call your own customers and leads, you are the sender. You are responsible for having their consent, honouring opt outs and following the law (including the TCPA and carrier rules).
• Do not use the services for anything unlawful, misleading or harmful, or to send spam.

6. No guaranteed results

Search rankings, calls, leads and reviews depend on many things outside our control, including Google and your market. We work hard to grow them but we do not guarantee any specific ranking, number of leads or revenue. Results shown on our website are from real clients and are not a promise of what you will get.

7. Third party services

Parts of the services rely on third parties such as GoHighLevel, Google, phone carriers and hosting providers. We are not responsible for their outages, policy changes or actions, though we will help you work around them where we can.

8. SMS Terms

Program name: Rankchat Agency.

What you will receive: when you give us your mobile number and opt in (for example through a form or calendar booking on our website), you agree to receive text messages from Rankchat Agency including appointment reminders, follow ups about your inquiry, and occasional offers.

Message frequency varies. Msg & data rates may apply.

Opt out and help: Reply STOP to opt out, HELP for help. After you reply STOP you will receive one message confirming you have been unsubscribed and no further messages unless you opt in again.

Consent to receive text messages is not a condition of buying anything. Carriers are not liable for delayed or undelivered messages.

9. Disclaimers

The services are provided "as is" and "as available". To the fullest extent allowed by law, we disclaim all warranties not stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose and non infringement.

10. Limitation of liability

To the fullest extent allowed by law, we are not liable for any indirect, incidental, special or consequential damages, or for lost profits, revenue or data. Our total liability for any claim relating to the services is limited to the fees you paid us in the three months before the claim arose.

11. Indemnity

You agree to cover us for claims, losses and costs arising from your materials, your messages to your own customers, or your breach of these Terms or the law.

12. Ending the services

You can cancel as described in section 3. We may suspend or end the services if you do not pay, break these Terms or use the services unlawfully. Sections 4, 6 and 9 to 14 continue after the services end.

13. Governing law

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of law rules. Any dispute will be handled in the state or federal courts located in Wyoming.

14. Changes and contact

We may update these Terms. The effective date at the top shows when they last changed, and continued use of the services means you accept the update. Questions:
